Affiliate Program Agreement for the "Apex Unicut" Service

Current Version. Effective Date: July 4, 2026

SECTION 1. TERMS, DEFINITIONS, AND FRAMEWORK
Throughout this Document, the following terms shall have the sole and exclusive meanings defined below:

The Service (The Platform) — The Apex Unicut proprietary software suite, operating simultaneously via the official website (apexunicut.com and all its subdomains) and the official interactive Telegram bot. It is designed to automatically uniqueize (deduplicate/alter) video and photo materials using metadata modification algorithms, pixel shifting, audio noise overlays, and other specialized methods to bypass social media moderation systems.

Management (Administration) — The creators, owners, developers, and operational staff of the Service (including the Technical Director and the Head of Operations/Marketing).

Partner (Affiliate, Webmaster) — A user of the Service who holds an active, fully paid subscription of the Pro or APEX SUB tier (or higher), has successfully completed verification, and has been granted access to the private affiliate dashboard along with a unique referral ID to promote the Platform.

Referral — A brand-new user who has never previously held an account with the Service, has had no prior interaction with the Platform, and whose registration via a Partner’s referral link has been successfully logged by the Service's tracking system.

Referral Link — A unique URL or text command (within the Telegram bot) containing the Partner's individual identifier (ID), used to track user clicks and permanently bind Referrals to that Partner.

Unit (Coin) — The internal digital accounting unit of the Service. It does not hold the status of electronic money or fiat currency and is used exclusively to pay for video rendering and computing operations. The value of a Unit is strictly capped by technical thresholds (10 Units = 1 standard video up to 60 seconds long at a resolution up to 1080p).

Hold (Hold Period) — A temporary processing window during which a Partner's credited affiliate earnings are frozen on their balance by the Platform's software code. During the Hold period, funds cannot be withdrawn, converted, or spent. The Hold period is mandatory to verify transaction legitimacy, prevent technical fraud, check for Race Conditions, and confirm the absence of chargebacks (payment reversals).

Fraud — Any intentional or unintentional actions by a Partner aimed at deceiving the Platform’s tracking systems, fabricating user activity, artificially inflating balances, exploiting code bugs, or bypassing system limitations for illicit personal gain.

Anti-Detect Browsers and Proxies — Specialized software (such as AdsPower, Multilogin, Dolphin) and proxy servers (residential, mobile, or datacenter) used to alter a device’s digital fingerprint and IP address to simulate traffic from multiple distinct individuals.

SECTION 2. LEGAL STATUS, ACCEPTANCE OF TERMS, AND DURATION
2.1. Execution and Acceptance. These Rules constitute a binding public offer. A user’s full and unconditional acceptance of this Agreement occurs the exact moment they click the /start button in the Service's Telegram bot or complete the registration process on the Service's website. From that moment forward, the Partner is legally deemed to have reviewed and agreed to every clause of these Rules.

2.2. Amendments to Terms. Management retains the exclusive right to modify, amend, correct, or adjust this text at any time without providing prior individual notice to Partners.

2.3. Responsibility for Monitoring. The Partner assumes sole responsibility for independently monitoring the official resources of the Service for the latest version of these Rules. Continued use of the affiliate dashboard and generation of traffic after changes have been posted constitutes automatic consent to the updated version of the Rules.

2.4. Eligibility Threshold and Account Suspension. Participation in the affiliate program is restricted. The personal affiliate dashboard (the dedicated analytics page containing statistics and step-by-step instructions) and the unique referral ID are activated by the Platform only after the user successfully pays for a Pro or APEX SUB subscription plan.

If the aforementioned subscription plans expire, are manually canceled, or lapse due to non-payment, access to the affiliate panel and instructions will be automatically frozen.

The accrual of affiliate commissions for any referral sign-ups or actions occurring during this account suspension period will be completely halted until a qualifying subscription tier (Pro or APEX SUB) is restored. Retroactive adjustments or payouts for revenue missed during the suspension period will not be issued under any circumstances.

SECTION 3. TRACKING MECHANICS, COOKIES, AND REFERRAL ATTRIBUTION
3.1. Attribution Priority (Last-Click Model). The Service strictly operates on a Last-Click attribution model. If a prospective client clicks Partner A’s link but does not register, and later clicks Partner B’s link and completes registration, the Referral is permanently and irrevocably assigned to Partner B. Management will not entertain any disputes or claims from Partner A regarding "stolen traffic."

3.2. Cookie Lifespan (Browser Tracking). When a prospective client navigates to the Service's website via a referral link, tracking cookies are stored in their browser for a duration of 30 (thirty) calendar days. If the client registers on the 31st day without generating a fresh click on the link, they are logged as a direct user, and no affiliate commission will be credited.

3.3. In-App Telegram Tracking. Referral attribution within the Telegram bot occurs at the precise millisecond the user presses the /start button, provided a valid referral parameter is passed within the deep-link command (e.g., t.me/apexunicut_bot?start=ref123). If the user has previously launched the bot directly or via another Partner's link, re-attribution is technically impossible. Management is strictly prohibited from manually transferring existing users between different affiliate accounts or referral trees.

3.4. Cookie Stuffing (Forced Insertion). Any technical manipulation designed to silently inject referral cookies into users' browsers is strictly prohibited. This includes, but is not limited to, the use of hidden iframe tags, invisible scripts on third-party sites, pop-under windows, or automated redirects executed without the user's conscious interaction. If cookie stuffing is detected, the Partner’s account will be instantly banned and their entire balance forfeited.

SECTION 4. FINANCIALS, COMMISSIONS, AND CURRENCY POLICIES
4.1. Commission Rate. The Partner shall receive a flat commission of exactly 20% (twenty percent) of the net funds actually received by the Service from the sale of paid subscription plans (Lite, Pro, Apex) or token packages to that Partner's logged Referrals.

4.2. Exclusion of Payment Gateway Fees. The affiliate commission percentage is calculated based on the Referral's payment amount net of crypto gateway fees, merchant processing fees, and blockchain network fees (which average roughly 5% of the gross transaction value). The Partner explicitly agrees that their 20% cut applies solely to the net profit deposited into the Platform's merchant accounts.

4.3. Strict USD/USDT Peg (Volatility Immunity). To insulate the system from market volatility, all Partner balances, ledger history, and financial statistics within the Service are tracked and displayed exclusively in US Dollars (USD) or USDT stablecoins.

4.4. Crypto Conversion Protocol. If a Referral pays for a subscription using a volatile cryptocurrency (Bitcoin, Ethereum, TON, etc.), conversion into USD for affiliate calculation occurs automatically at the exact millisecond of transaction confirmation, utilizing the payment gateway's internal exchange rate. If the value of the cryptocurrency drops while the funds are sitting in Hold, the Partner’s USD balance remains unchanged; the Service fully absorbs the market risk and will pay out the exact USDT equivalent of the locked USD value. No additional payouts or retroactive recalculations will be performed due to market fluctuations.

4.5. Customer Lifetime Value (LTV). The Partner will receive their 20% commission on all recurring, automatic, and manual subscription renewals made by their Referral for the entire operational lifespan of the Referral's account, except in instances where the Partner’s account is terminated due to policy violations.

SECTION 5. STRICT WITHDRAWAL CRITERIA AND ANTI-ABUSE BARRIERS
To preserve the financial security and operating capital of the Service, all affiliate payouts are governed by a multi-tiered security framework consisting of six distinct layers of protection:

5.1. Tier 1: Minimum Payout Threshold. Payout requests can only be submitted once a Partner's cleared balance (funds completely released from Hold) reaches a minimum of $50 (fifty US dollars).

5.2. Tier 2: The Three Unique Buyers Rule. The first-ever payout request on any Partner account will only be approved by the system and Management if the referral structure contains at least 3 (three) completely unique users, each having made at least one successful purchase of a paid tier. This rule prevents self-referral schemes where a user creates a second account to purchase subscriptions for themselves at an artificial 20% discount.

5.3. Tier 3: Mandatory Hold Period (7 Days). Every single commission credited to a Partner’s balance from a Referral’s purchase is frozen for exactly 7 (seven) full days (168 hours) from the moment the transaction is confirmed on the blockchain. Management performs automated and manual security audits during this window. Technical extraction of funds in a Hold state is impossible.

5.4. Tier 4: Strict Manual Payout Mode. All payouts, without exception, are processed manually by Management. Automated API payout functionality is completely blocked at the core architecture level of both the bot and the website. Funds are reviewed, approved, and dispatched to the Partner's wallet once a week on a designated settlement day, following an audit of security logs.

5.5. Tier 5: Commission Expiration and Forfeiture of Unclaimed Balances. All accrued affiliate commissions that have successfully cleared the Hold period and are available for withdrawal are stored on the Partner's internal balance for a strictly limited window of 3 (three) calendar months (90 calendar days) from the date of initial accrual. If the Partner fails to submit a valid withdrawal request within this 90-day window (including instances where they fail to meet the thresholds outlined in clauses 5.1 or 5.2), these funds will be classified as abandoned. Upon the expiration of 90 days, the unclaimed balance will be automatically and irreversibly reset to zero by the system. Management will offer no compensation, account restorations, or manual re-crediting for expired funds.

5.6. Tier 6: Chargeback and Refund Policy (Clawbacks). If a Referral pays via a credit card or any payment processor that allows dispute or reversal procedures (Chargebacks / Refunds), and subsequently triggers a refund after the Partner has already withdrawn the corresponding commission, Management reserves the right to deduct that amount from the Partner's subsequent earnings. If no new earnings occur, the Partner's balance will become negative. All withdrawal capabilities will be locked until the balance is brought back to a positive standing through new, legitimate referral traffic.

SECTION 6. PROHIBITED TRAFFIC SOURCES
Employing any of the promotional methods listed below constitutes a material breach of this Agreement. It will result in an immediate, permanent, lifetime account ban and the total forfeiture of all accumulated funds without the right to appeal or withdraw:

6.1. Brand Bidding (Trademark Infringement in Ad Networks). Partners are strictly prohibited from purchasing contextual search ads (Google Ads, Yandex Direct, Bing, Yahoo, etc.) targeting keywords that contain the name of the Service, including any variations, transliterations, misspellings, or typos. Prohibited keyword strings include, but are not limited to: Apex Unicut, ApexUnicut, Апекс Юникат, АпексУникат, apexunicut bot, apex unicut software, apex uniqueizer. Partner ads must not compete with or cannibalize the Service's official marketing campaigns in search engine results.

6.2. Self-Referral and Multi-Accounting. It is strictly forbidden to register accounts using your own referral link, utilize your own referral codes for personal subscription purchases, or distribute your referral links to immediate family members or direct business partners for the purpose of artificially reducing software costs (securing a hidden 20% cashback).

6.3. Incentivized Traffic. Partners are prohibited from sourcing users through micro-task sites, click farms, reward platforms, or GPT (Get-Paid-To) networks (e.g., Seosprint, Taskpay, Wmmail, Fiverr, or international micro-job boards) where individuals are paid, given bonuses, or promised free private methods, guides, or software just to sign up via a referral link and buy a minimum tier. Partner traffic must consist solely of an organic target audience with a genuine, self-motivated need for a content variation tool.

6.4. Industrial Spam Attacks. Mass spamming of referral links via direct messaging (DMs) across social media networks, messaging apps (Telegram, WhatsApp, Viber, etc.), or through aggressive comment spamming under third-party videos (TikTok, Instagram Reels, YouTube Shorts, etc.) is strictly banned. Partners must utilize intermediate bridge pages (Landing Pages, Linktree, personal blogs) or short redirect domains. The direct domain apexunicut.com must never be exposed in spam campaigns to protect the domain from being flagged, penalized, or blacklisted by Meta, Google, and TikTok algorithms.

6.5. Misleading Claims and False Promises. Partners are categorically forbidden from guaranteeing prospective clients specific income levels, exact view counts, 100% effortless bypass guarantees, or any outcomes that depend on third-party systems (such as changing social media algorithms). Marketing materials must frame the Service as a technical tool, not a "guaranteed money button." Verified instances of widespread user complaints regarding deceptive marketing will result in an immediate partner ban.

6.6. Phishing and Brand Cloning. Creating websites, Telegram bots, or social media handles that mimic or impersonate the official assets of Management (including the unauthorized use of official logos, UI design elements, and site structures on external domains without explicit written consent) is strictly prohibited. While Partners may use promotional banners provided directly by Management, the end-user must always clearly understand that they are interacting with an independent Partner's blog or resource.

SECTION 7. TECHNICAL ANTI-FRAUD AND SECURITY AUDITS
The Service's development team has integrated an automated anomaly tracking engine directly into the Platform's core architecture. Partners are hereby notified that Management continuously monitors the following technical fraud indicators:

7.1. Device and Network Fingerprint Auditing. If the security system detects overlapping Canvas Fingerprints, WebGL data, browser audio fingerprints, shared proxy subnets, or identical User-Agents between a Partner's tracking link and their Referrals' payment sessions, the transactions will be automatically flagged as fraud (simulated multi-accounting executed via anti-detect tools).

7.2. Crypto Wallet Cross-Checking (Wallet Poisoning Defense). If the security system discovers that multiple "distinct" Referrals belonging to a single Partner are funding subscriptions from the exact same crypto wallet, or that transactions originate from the same cryptocurrency exchange sub-account (sharing a common parent address), or if affiliate payouts are routed to a wallet that was previously used to purchase subscriptions on the Platform—this will be treated as definitive fraud. The Partner's balance will be permanently wiped.

7.3. Race Condition Attack Protection. If multiple simultaneous automated API requests (occurring within the same second) for withdrawals or balance updates are detected from a single Partner account, the security architecture will automatically lock the transactions. All financial ledger updates are executed sequentially using row-level database locking at every stage. Any funds extracted via concurrent thread exploitation will be permanently seized.

7.4. Mandatory Traffic Audits. Management reserves the right to temporarily freeze a Partner's payouts for up to 14 business days to conduct a comprehensive traffic inspection. Upon request, the Partner is legally obligated to provide:

Direct URLs to the platforms where the Service's ads are actively hosted;

Unedited screenshots and screen recordings of ad network dashboards (Google, Facebook, TikTok, etc.) verifying active campaigns;

Access to analytics data for the channels or public groups driving the traffic.
If the Partner refuses to cooperate or attempts to conceal their traffic sources, Management retains the absolute right to void their entire balance and revoke their affiliate status.

7.5. Payout Credential Uniqueness. Each Partner is permitted to link only one unique cryptocurrency wallet or payment gateway account for withdrawals. Reusing the same withdrawal wallet across two or more separate Partner accounts is strictly prohibited. If duplicate payout credentials are found, all linked accounts will be frozen pending investigation, and the generated traffic will be classified as cross-account abuse.

7.6. Cryptocurrency Asset Verification (AML Compliance) and Transaction Freezing.** The integrated third-party payment gateway provider automatically performs risk-scoring (AML analysis) for all incoming cryptocurrency transactions. 
    * In the event that a Referral transmits "dirty" cryptocurrency (defined as high-risk transactions with direct or indirect links to mixers, darknet marketplaces, sanctioned addresses, or illicitly obtained/stolen assets), the payment gateway provider reserves the right to immediately freeze such funds.
    * The Partner and the Referral are hereby notified that the provision of access to the Platform’s subscription plans (tariffs), active tiers, and units (coins) shall be fully suspended until the payment gateway provider's compliance department completes its investigation and officially unfreezes the assets. 
    * The accrual of affiliate (referral) rewards for any transactions frozen by the AML compliance system is strictly prohibited and shall not be executed. The Platform bears no liability for any processing delays, asset freezing, or permanent confiscation executed by the third-party payment gateway provider resulting from the high-risk or non-compliant actions of the Referral.

SECTION 8. CUSTOMER SUPPORT, OPERATING PROCEDURES, AND SOCIAL ENGINEERING DEFENSE
8.1. Database Supremacy (The Sole Source of Truth). The operations of the Service's customer support desk are anchored to a strict operational axiom: "The sole source of truth is the log files and data records housed within the official Apex Unicut database."

8.2. Rejection of Third-Party Evidence (No Screenshots Accepted). Support staff are strictly prohibited from manually crediting affiliate funds, activating Units, or overriding payout blocks based on user-provided screenshots of transaction receipts, chat histories, screen recordings, or informal claims such as "My friend bought a plan but I didn't get credited, here's the screenshot." Customer support is trained to treat all graphic submissions as easily forgeable via graphic design software within minutes. If a transaction is completely absent from the official admin panel, it does not exist. All tickets relating to such claims will be automatically closed.

8.3. Protection Against Extortion and Bullying. Any attempts to blackmail or pressure Management—including threats to launch negative ad campaigns, publish bad reviews on media buying forums, or migrate traffic teams to competitors in an effort to force support to issue payouts outside of standard Hold periods, minimum thresholds, or traffic audits—will be handled as a direct security threat. Partners engaging in these behaviors will be banned permanently and instantly.

SECTION 9. FORCE MAJEURE AND THIRD-PARTY PLATFORM DISRUPTIONS
9.1. Social Media Algorithm Invalidation. Because the Service offers content variation tools designed to bypass the moderation of third-party tech platforms (TikTok, Instagram, YouTube, etc.), Management accepts zero liability for sudden, sweeping updates to the codebase or neural networks of those platforms. If a major platform update causes a temporary drop in deduplication effectiveness (resulting in "zero views" or client account shadowbans), it shall be legally classified as a Force Majeure event. Affiliate commissions generated during such windows are non-refundable, non-compensable, and non-adjustable.

9.2. Crypto Gateway Disruptions. Management shall not be held liable for delayed commission credits or tracking synchronization bugs resulting from failures within decentralized blockchain networks or external payment gateway servers (such as NOWPayments, etc.). Commissions are only finalized once the underlying crypto funds have cleared into the Service's wallets.

SECTION 10. TERMINATION AND ACCOUNT BAN RECOURSE
10.1. Unilateral Termination. Management retains the absolute right to terminate cooperation with any Partner at any time, unilaterally and without stating a cause, by paying out the Partner's accumulated, verified balance—provided the Partner has not committed any violations under Sections 4, 6, or 7.

10.2. Consequences of a Fraud-Related Account Ban. If a Partner account is permanently terminated for violating policy rules (fraud, spam, self-referral, brand bidding, etc.):

Access to the website account dashboard and the Telegram bot is permanently revoked;

All referral links are severed, and existing Referrals are unlinked from the account;

The entire balance is seized by the Service to offset the server rendering, bandwidth, and computational costs incurred by processing fraudulent traffic;

The violator's withdrawal wallets and known IP addresses are added to the platform's global blacklist.

These Rules are professionally drafted, legally binding, comprehensive in scope, and leave no room for ambiguity or alternative interpretation. Any violation of these provisions shall result in the automatic and immediate forfeiture of the Partner's affiliate status.
